Web Design and Lease Agreement

Web site owner: "Jim R Cole" & "Client"________________________

1. Jim R. Cole has been retained by________________________________to
produce and provide storage for said companies World Wide Web Site.
2.Jim R. Cole will maintain the site according to the following specifications:
(A) Initial setup cost is included in the price of the first year of hosting. Initial production is deemed as a maintenance duty, and the annual contract will begin at
date signed. This doesn’t include the cost of domain registration in case of virtual
domain hosting.
(B) Storage and hosting for the said site will be at a rate of $______________ per
calender year. The said site is not to exceed 50 megabytes of cumulative file size.
Additional space will be available in 1 megabyte increments at a cost of $12.00
per year. This will not include domain service, which is normally $35.00 annually.
(C) General maintenance such as error corrections will be included in the yearly hosting and maintenance
charge. Major changes such as additional product lines or site modifications are subject to additional fees.
(D) Initial fee of 50% will be due before production. Balance will be due upon completion of web site or
30 days from signing date whichever occurs first.
(E) This agreement will automatically renew for a successive 1-year period for the life of the contract until
canceled in writing. The client will give 30 days written notice of intent to cancel before expiration of current year.

(F) Introduction: HB Solutions Inc., a Utah Company, has created an Internet environment known as HB Solutions, Inc. The Client has, by executing this Agreement, indicated his/her desire to participate in HB
Solutions as explained to by the Web Site Owner.

(G) Demise and term: Web Site Owner leases to Client the Web Pages on HB Solutions subject to the terms
and conditions set forth in this lease for a term listed above. Expiration listed above. Cancellation of lease
listed above.
(H) Termination: The Client acknowledges and agrees that HB Solutions may terminate this Agreement at any time, immediately following the issuance of 30 day written notice to the Web Site Owner and the Client, if in HB Solution’s discretion the Pages or any portion thereof violates generally accepted standards
of good taste and acceptable business practices.
( I ) Consequences of Termination: Upon the termination of this agreement, HS Solutions will remove as
promptly as possible all of the Pages (and product listings) from HB Solutions.
( J ) Indemnification: The Client agrees to indemnify HB Solution and Web Site Owner (including their
respective officers, directors, agents and employees) against and hold them harmless from, all costs, expences and liabilities arising from or related to the Pages.
(K) Severability and Waiver: Should any provision of the agreement held by a court of law to be illegal,
invalid or unenforceable, the legality, validity and enforceability of the remaining provision of the Agreement shall not be affected or impaired thereby. The failure of any party to enforce any of the terms or
conditions of the Agreement, unless waived in writing, shall not constitute a waiver of that party’s right to
enforce each and every other terms and condition of the Agreement.
( L ) Governing Law: The Agreement shall be deemed to have been entered into and shall be interpreted and governed in all respects by the laws of the state in which the Agreement was signed, as they apply to
contracts between residents of that state and to be performed entirely in the state. Except as otherwise provided, all rights of the parties are cumulative and in addition to any rights that a party may have

(M) Taxes: The customer agrees to assume full responsibility for the payment of all sales, use, property, excise, duties, or other taxes due upon sale of products and services related to order transaction from buyers using HB Solutions.
(N) Notice: Any notice, demand, request or consent required or permitted by the Agreement shall be in
writing and shall be given by certified mail, return receipt requested, or via Federal Express, to the Web
Site Owner listed herein.
(()) Export Control: The Client agrees that it will not export or re-export any of the products or services
listed for sale on HB Solutions without the appropriate United States and foreign government licenses.
